1. Definitions
In these terms, the following definitions apply:
- NMChem Ltd (also "us", "we", "our") — the company supplying the products.
- Buyer (also "you", "your") — the person or organisation placing an order.
- Products — the research compounds and reference materials supplied by us.
- Website — nmchem.co.uk and any associated subdomains.
- Order — a request submitted by the buyer to purchase products.
- Confirmation — the email we send to confirm acceptance of an order.
2. Research use restriction
All products are sold exclusively for in-vitro laboratory research. The buyer confirms at the point of purchase that products will not be administered to humans or animals, will not be incorporated into food, cosmetics, or medicinal products, and will not be resold or transferred to any person not bound by equivalent research-use conditions.
Breach of this condition is a material breach of contract and entitles NMChem to terminate the buyer's account and report the breach to relevant regulatory authorities.
3. Orders and acceptance
An order constitutes an offer to purchase products on these terms. Acceptance occurs only when we send an order confirmation. We reserve the right to decline any order at our discretion. Orders declined after payment has been taken are refunded in full within 5 working days.
4. Pricing and payment
Prices are shown in GBP and include UK VAT where applicable. Prices may change without notice, but confirmed orders are fulfilled at the price shown in the order confirmation. Payment is taken at the time of order. We accept major credit and debit cards. Institutional buyers may apply for invoice terms.
5. Delivery
We aim to dispatch all UK orders on the same working day for orders placed before 14:00. Delivery times are estimates and are not guaranteed except where a guaranteed next-day service has been selected and confirmed at checkout. Risk in the products passes to the buyer on delivery. Title in the products passes on full payment.
6. Returns and refunds
Returns are governed by the separate Returns Policy, which forms part of these terms. Where consumer rights apply by law, those rights are not affected by these terms.
7. Limitation of liability
Our total liability for any claim arising from an order shall not exceed the value of that order. We are not liable for indirect, consequential, or economic loss, loss of research data, loss of experimental results, or any loss arising from the buyer's use or misuse of the products. Nothing in these terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
8. Intellectual property
All content on this website, including product descriptions, COA summaries, and technical guides, is owned by NMChem Ltd or licensed to us. You may not reproduce, republish, or redistribute any content without our prior written permission.
9. Governing law
These terms are governed by the laws of England and Wales. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Entire agreement
These terms, together with the Returns Policy, Privacy Policy, and Compliance page, constitute the entire agreement between us. No representation made before the order confirmation forms part of this agreement unless confirmed in writing by a director of NMChem Ltd.
11. Changes to terms
We may update these terms at any time. Changes take effect for orders placed after the updated terms are published. We will not apply new terms retrospectively to orders that have already been confirmed.
